Senior Legal Counsel – Mining & Corporate Law

About the role

The Senior Legal Counsel will provide comprehensive legal support to a mining-focused operation, advising on commercial contracts, regulatory compliance, government affairs, and corporate governance. This senior position requires a strong background in OHADA law and experience handling complex legal matters across West Africa.

Key responsibilities

• Draft, review, and negotiate commercial agreements such as mining services, procurement, exploration, employment, and joint venture contracts.
• Ensure all contractual arrangements comply with local legislation, OHADA regulations, and internal policies.
• Provide legal advice to operational and corporate teams on obligations, risks, and contract interpretation.
• Engage with government authorities, regulators, and industry bodies; develop and maintain stakeholder relationships.
• Manage litigation, arbitration, and dispute resolution matters, coordinating external counsel across jurisdictions.
• Oversee corporate governance duties, including filings, board resolutions, statutory records, and shareholder matters.
• Advise on mining legislation, environmental regulations, licensing, and permitting requirements throughout West Africa.
• Prepare legal risk assessments, reports on litigation, regulatory developments, and compliance matters for senior leadership.

Required profile

• Qualifying law degree from a jurisdiction within an OHADA member state.
• Master’s degree in law (LL.M) or equivalent.
• Significant experience in commercial contract drafting, dispute resolution, and regulatory compliance within the mining sector.
• Demonstrated ability to interact with government officials and industry regulators.
